On 8th October 2019 UAB FMĮ “Orion Securities”, a company registered in Lithuania, registry code: 122033915, registered address Antano Tumėno str. 4, Vilnius, Lithuania; hereinafter “Orion Securities”, will acquire the Lithuanian client investment services portfolio as a separate asset complex or its substantial part, that belonged to Danske Bank A/S, a company registered in Denmark, registration code 61126228 in the Danish Business Authority, registered address Bernstorffsgade 40, 1577 Copenhagen V, Denmark, acting via Danske Bank A/S Lithuania Branch, registry code 301694694, registered address Saltoniškių str. 2, Vilnius, Lithuania (hereinafter “Danske Bank”), in accordance with the Business Sale-Purchase Agreement dated 7th October 2019.
Please note that “Danske Bank” and “Orion Securities” will also send the information containing in this notice directly to related existing clients to whom this information is relevant.
The below provided information is intended to inform “Danske Bank” clients, who due to various reasons (changed contact details and etc.) have not directly received a notice.
Please find below the information about changes relevant for you.
“Orion Securities” as a new service provider
“Danske Bank” will transfer the Agreements on Investment Services between you and “Danske Bank” and related securities to “Orion Securities” and cover related costs. “Orion Securities” will be a party to the agreements related to the securities holding instead of “Danske Bank” as of the 8th October 2019 and will provide you the securities holding, that is investment, services.
Terms and conditions of the transferred agreements will not change as a result of the transfer. However, for investment services the signing of the relevant agreement between you and “Orion Securities” is needed. “Orion Securities” will contact the clients using their existing contacts, in order to obtain additionally needed information and to comply with the mandatory regulation principles (Know Your Client (KYC), anti-money laundering (AML) prevention, etc.). During this process the client can choose most appropriate communication (e.g. provision of orders) channel with “Orion Securities” (e.g. by phone, by internet via Orion Client Area, etc.). The Order Execution Policy, Price List and other relevant regulations of “Orion Securities” (you may request “Orion Securities” to provide these documents by contacting them by phone or by e-mail) will apply to the agreements on investment services as of 8th October 2019, replacing the General Conditions and the Price List of “Danske Bank” referred to in the transferred agreements.
New securities account
On the 8th October 2019 clients’ securities will be transferred to “Orion Securities” omnibus securities account at Nasdaq CSD SE and/or “Orion Securities” nominee account at the securities custodian chosen by “Orion Securities”, that is Danske Bank A/S.
“Orion Securities” in their own system will open personal securities accounts for the clients who previously held these securities at “Danske Bank”.

Transfer of documents and personal data processing
“Danske Bank” will transfer the documents and information, including your personal data (hereinafter the Personal Data) related to the transferred securities portfolio to “Orion Securities”. You can obtain an overview of the types of Personal Data and the processing operations of “Danske Bank” as the controller by reading “Danske Bank” Privacy Notice at “Danske Bank” website.
Transferring the Personal Data, documents and other data related to the securities portfolio is necessary to allow “Orion Securities” to continue managing the securities portfolio, prevent money laundering and terrorist financing and preserve accounting documents.
The legal basis for transferring data to “Orion Securities” and further processing of Personal Data by “Orion Securities” is the performance of legal obligations, including performance of the agreements entered into with clients and the legitimate interest of “Danske Bank” and “Orion Securities”. The primary legitimate interest of “Orion Securities” is the management and continuous providing of the transferred services.
Please be informed that your Personal data will be stored as long as “Orion Securities” will be responsible for the portfolio of your transferred securities.

Please note that you also have the following rights:
- the right to request from “Orion Securities” access to and rectification or erasure of personal data or restriction of processing concerning the data subject and to object to processing as well as the right to data portability;
- the right to withdraw consent at any time, without affecting the lawfulness of processing based on consent before its withdrawal;
- the right to lodge a complaint with a State Data Protection Inspectorate.
“Orion Securities” processes your data as the controller and does so in accordance with the principles of General Data Protection Regulation.
